Terms and Conditions for Franchisee Engagement with Protijogi
These Terms and Conditions are established by Protijogi, an organization providing educational materials and guidance to students for competitive examinations, admission & career counselling, and other activities that upskill students. Protijogi also arranges various types of competitions for student empowerment and skill development as part of preparing students for competitive exams. The organization is registered at West Arabinda Nagar, Jalpaiguri, West Bengal, India (hereinafter referred to as the “Franchisor”).
1. Grant of Franchise Rights
1.1 The Franchisor grants the Franchisee the exclusive right to operate and manage franchises within the territory of Own, India.
1.2 The Franchisee is authorized to enrol students, educationalists, and education lovers, monitor their activities, motivate them, and undertake other related activities as directed by the Franchisor’s top management.
2. Sub-Portal Allotment Fees
2.1 A one-time, non-refundable Sub-Portal Allotment Fee of INR 9,999/- (Nine Thousand Nine Hundred Ninety-Nine Rupees only) is mandatory and payable by the Franchisee to the Franchisor.
2.2 The Franchisor reserves the right to offer special Sub-Portal Allotment Fees for marketing purposes.
3. Pay-out Structure
3.1 The compensation structure for the Franchisee is as follows:
- INR 0.40 per competitor or participant as a referral or enrolment incentive.
- INR 0.20 per competitor or participant as a performance incentive, provided that:
- A minimum enrolment of 100 competitors or participants is required.
- At least 30% of enrolled students must participate in the scheduled contests.
- INR 0.05 per competitor or participant referred or enrolled by the Franchisee partner.
3.4 The Franchisee may receive the same or more lucrative incentives for future programs introduced by the Franchisor, such as mock tests, talent searches, premium content subscriptions, workshops, webinars, etc.
3.5 The Franchisor reserves the right to modify the compensation structure at its discretion with due notice provided to the Franchisee.
4. Duties and Responsibilities of the Franchisee
- 4.1 Compliance with Laws and Regulations: The Franchisee must comply with all applicable laws, rules, and regulations set by the Indian government.
- 4.2 Promotion and Marketing: The Franchisee is responsible for promoting the services of Protijogi within their assigned territory, adhering to ethical guidelines.
- 4.3 Student Enrolments: The Franchisee shall work actively to enrol students in online education programs and contests.
- 4.4 Quality Assurance: The Franchisee must maintain high standards of service delivery.
- 4.5 Data Security and Privacy: The Franchisee must ensure the confidentiality of all student data.
- 4.6 Accurate Reporting: The Franchisee is required to provide accurate and timely reports to the Franchisor.
- 4.7 Customer Support: The Franchisee must provide prompt customer support to students and parents.
- 4.8 Adherence to Franchisor’s Guidelines: The Franchisee must follow the guidelines and curriculum standards set by the Franchisor.
- 4.9 Training and Development: The Franchisee shall participate in any mandatory training programs organized by the Franchisor.
- 4.10 Financial Management: The Franchisee must maintain proper financial records and ensure timely payments.
- 4.11 Non-Compete Clause: The Franchisee shall not engage in any competing business during the franchise agreement's tenure.
- 4.12 Feedback and Improvement: The Franchisee shall collect feedback and share insights with the Franchisor.
- 4.13 Termination and Exit: Upon termination, the Franchisee must comply with exit protocols, including returning all proprietary materials.
5. Training and Support
5.1 The Franchisor shall provide initial training on products, services, and operational procedures.
5.2 Ongoing support and guidance will be provided to ensure effective franchise network management.
6. Term and Termination
6.1 This engagement is valid for one year and will auto-renew unless terminated earlier according to these terms.
6.2 Termination can be initiated by either party with written notice for breach of any term or condition.
6.3 Upon termination, the Franchisee must cease using the Franchisor's brand and return all proprietary materials.
7. Grounds for Termination
- 7.1 Breach of Contract: Non-compliance with agreement terms, non-payment of fees, or failure to maintain brand standards.
- 7.2 Poor Performance: Consistent underperformance or excessive customer complaints.
- 7.3 Legal and Regulatory Issues: Involvement in illegal activities or non-compliance with regulations.
- 7.4 Damage to Brand Reputation: Actions causing significant harm to the brand’s reputation.
- 7.5 Financial Instability: Bankruptcy or financial difficulties affecting operations.
- 7.6 Conflict of Interest: Engaging in competing business ventures or breaching confidentiality.
8. Confidentiality
8.1 The Franchisee agrees to maintain the confidentiality of all proprietary information and will not disclose it without prior written consent from the Franchisor.
9. Intellectual Property
9.1 The Franchisor retains sole ownership of all intellectual property rights related to its brand.
9.2 The Franchisee must use the Franchisor’s intellectual property only as per these terms and not engage in any infringing activities.
10. Governing Law and Jurisdiction
10.1 These Terms and Conditions are governed by the laws of India.
10.2 Any disputes will be subject to the exclusive jurisdiction of the courts in Jalpaiguri, West Bengal, India.
